Sweepstakes is offered only to legal residents of the United States and or the District of Columbia, who are at least 18 years of age at the time of entry. Sweepstakes is void in Alaska, Hawaii, Puerto Rico and where prohibited. Employees, directors, and officers of America Online, Inc. ("Sponsor") and NewWorldIQ ("NWIQ") and their respective parents, subsidiaries, divisions, affiliates, and the immediate family (defined as parents, children, siblings and spouse or life partner) of each such person, together with those whom such employees are domiciled are not eligible. By entering, you agree to be bound by these Official Rules and the decisions of NWIQ, which shall be final and binding in all respects.

2. TIMING

The Sweepstakes begins on November 8, 2002 at 12:00:00am Eastern Time (ET) and ends on January 2, 2003 at 11:59:59pm ET ("Promotional Period"). For the purposes of calculating time during the Promotional Period, a "Promotional Week" begins on Friday at 12:00:00 ET and ends on Thursday at 11:59:59pm ET.

3. ENTRY

To enter the Sweepstakes visit the "House and Home Holiday Makeover" Sweepstakes registration page at http://jump.iq.com/jump14/hah/index.html or AOL Keyword: Home Makeover Sweepstakes and click on the "Enter Now!" Button. Complete the required information on the entry form and submit.

Limit one (1) entry per person and email address per Promotional Week.

4. DRAWING

First Prize Winners will be selected by random drawing from all eligible entries received during each Promotional Week. Winners will be notified by email, telephone, or overnight courier within approximately three (3) days of each drawing. Drawings for each Promotional Week will take place on or about the Tuesday following each Promotional Week. The Grand Prize Drawing will take place on or about January 6, 2003 from all eligible entries received during the Promotional Period. Drawings will be conducted under the supervision of NewWorldIQ, whose decisions on all matters related to eligibility and drawing protocol shall be final.

5. PRIZES/ODDS

Eight (8) First Prizes (one per Promotional Week) each consisting of $1,000 for use towards a home makeover. Prize will be awarded in the form of a check.

One (1) Grand Prize: $25,000 for use towards a home makeover. Prize will be awarded in the form of a check.

Odds of winning depend on the number of eligible entries received as of each drawing date. No assignment, transfer or substitution of prize is permitted except by Sponsor. All applicable taxes are the sole responsibility of winner. Limit one prize per person. Total value of all prizes is $33,000.

6. DATA COLLECTION

Information collected from entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Sponsor or by NWIQ or any third parties. 7. GENERAL CONDITIONS

By entering this Sweepstakes, all entrants agree to be bound by all applicable U.S. laws as well as these Official Rules. Winners and travel companions must complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release (collectively, the "Affidavit") within ten (10) days of notification. Noncompliance with this time period (or NWIQ's determination that the Winner is not eligible) will result in disqualification, and an alternate Winner will be selected. Return of any prize notification as undeliverable may result in disqualification and selection of an alternate winner. Alternate winners are selected at random from the remaining eligible entries. Prizes will only be delivered to addresses within the United States. Where permitted by law, Winners grant to Sponsor and those acting pursuant to the Sponsor's permission, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the Internet, at any time and for perpetuity, the Winner's name, city/state, portrait, picture, voice, likeness and biographical information as news or information and for advertising, trade, public relations and promotional purposes without additional consideration, and without review, notice or approval. By accepting a prize, winners release and agree to hold harmless Sponsor and NWIQ and their respective parents, subsidiaries, divisions, affiliates, distributors and suppliers, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind or nature to person, including death, and damage to property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the prizes, participation in any Sweepstakes related activity, or participation in this Sweepstakes.

Sponsor and NWIQ reserve the right, at their sole discretion, to disqualify any individual found, in their sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site; to be in violation of the Terms of Service of any of their web sites; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all entries, and any participant using any such method will be disqualified. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address.

Sponsor may prosecute any fraudulent activities to the full extent of the law.

8. LIMITATIONS OF LIABILITY

Sponsor assumes no responsibility for lost, late, incomplete or misdirected entries; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention or the incorrect or inaccurate capture of entry information, or the failure to capture any such information.

Sponsor and NWIQ are not responsible for any incorrect or inaccurate information, whether caused by web site users, or tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site. Sponsor and NWIQ are not responsible for injury or damage to entrant's or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the web site. If, for any reason, this Sweepstakes, or any part thereof, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor and NWIQ, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select the winners in a random drawing from eligible entries received prior to the action taken. Sponsor and NWIQ are not responsible for any warranty or guarantee with regard to the prizes or any portion of the prizes. This includes, but is not limited to, the fitness of the prizes for particular purpose.

9. DISPUTES

Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsors in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Virginia, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia.
