1. ELIGIBILITY

Sweepstakes is offered only to legal residents of the United States and the District of Columbia, who are at least 13 years of age at the time of entry. Employees, directors, and officers of Unilever Bestfoods ("Unilever" or "Sponsor"), America Online, Inc. (“AOL”), Maverick Recording Company (“Maverick”), and NewWorldIQ (”NWIQ”) and their respective parents, subsidiaries, divisions, affiliates, distributors and suppliers and the immediate family (defined as parents, children, siblings and spouse or life partner) of each such person, together with those whom such employees are domiciled are not eligible. By entering, you agree to be bound by these Official Rules and the decisions of the Sponsor that are final and binding in all respects. Void in Alaska, Hawaii, Puerto Rico and where prohibited.

2. PROMOTIONAL PERIOD

Promotional period begins on November 6, 2002 at 12:00:00am Eastern Time (ET) and ends on January 2, 2003 at 11:59:59pm ET (the "Promotional Period"). For the purposes of calculating time during the Promotional Period, a “Promotional Week” begins on each Wednesday during the Promotional Period at 12:00:00am ET and ends on the following, Tuesday at 11:59:59pm ET, except for the final Promotional Week which will begin on Wednesday, December 25, 2002 at 12:00:00am ET and end on Thursday, January 2, 2003 at 11:59:59pm ET.

3. ENTRY

To enter, visit the “justincase you’re hungry” Sweepstakes registration page at http://jump.iq.com/jump14/ragu/index.html or Keyword: Ragú Express or Keyword: justincase and click on the “Enter Now!” Button. Complete the required information on the entry form and click “Submit.” Entries must be made as of Tuesday at 11:59:59pm ET for week in which entry is sought, except for the final week in which entries must be received as of Thursday, January 2, 2003 at 11:59:59pm ET. During the initial registration process only, you will receive one additional grand prize entry for each person you refer into the Drawing. Please refer only those persons with whom you have either personal or professional relationship, who you feel would be interested in the “justincase you’re hungry” Sweepstakes. Limit 6 referrals per person, per household.

All other registration or entry attempts are void. NWIQ’s computer will be the official clock of the Sweepstakes. Sponsor assumes no responsibility for lost, late, incomplete or misdirected entries; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention or the incorrect or inaccurate capture of entry information, or the failure to capture any such information.

Limit: One (1) entry per person/email address, per Promotional Week, and fourteen (14) entries in the Grand Prize drawing.

4. DRAWING

First Prize winners will be selected by random drawing from all eligible entries received during each Promotional Week. Winners will be notified by email, telephone, or overnight courier within approximately one (1) day of each drawing. Drawings for each Promotional Week will take place on or about the Friday following each Promotional Week. The Grand Prize Drawing will take place on or about January 7, 2003 from all eligible entries received during the Promotional Period. Drawings will be conducted under the supervision of NewWorldIQ, whose decisions on all matters related to eligibility and drawing protocol shall be final.

5. PRIZES/ODDS

One Hundred (100) First Prizes (twelve per Promotional Week except for the final Promotional Week, which will award sixteen first prizes and one grand prize) each consisting of an autographed copy of the self-titled justincase CD and a coupon for free Ragú Express product. Approximate Retail Value (“ARV”) of $15.25/ea.

One (1) One Grand Prize consisting of: Three (3) tickets and backstage passes to a March 2003 justincase concert at a venue to be determined, including roundtrip coach class air transportation within the continental United States for three (3) from the metropolitan airport nearest the winner’s home (airport and carrier to be determined by Promotion Sponsor); land transfers to and from the winner’s home to the designated airport; land transfers to and from arrival airport and the hotel; three (3) day, two (2) night stay at a hotel (one room, triple occupancy); land transfers to and from the selected concert venue; three (3) justincase Prize Packs including an autographed justincase CD, poster, t-shirt and Ragú Express coupons; and $300 food allowance. Winner and guests must be able to travel with thirty days notice. Approximate Retail Value (“ARV”) is up to $3,350. Actual value of grand prize will vary based on place of origin and airfare fluctuations. If the major airport nearest the winner’s residence is major metropolitan airport nearest the selected venue, the Grand Prize will not include air transportation and no substitution or compensation will be provided. Winner and guests must travel together on the same travel itinerary and on dates specified and, if under 18, winner must travel with and be supervised by his/her parent/legal guardian. Flight details are subject to space availability and airline carrier’s regulations and conditions apply. The trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Any picture identification requirements associated with air travel are the winner and guest’s responsibility. Sponsor is not responsible for lost or mutilated travel certificates and none will be replaced. Grand Prize is non-transferable and there is no cash refund in the event that winner and/or guests cannot accept or use the prize. Any portion of a prize not accepted by winner will be forfeited. All other expenses not specified herein (including taxes, gratuities, meals and non-specified ground transportation) are the sole responsibility of the winner.

Odds of winning depend on the number of eligible entries received as of each drawing date. No assignment, transfer or substitution of prize is permitted except by Sponsor. All applicable taxes are the sole responsibility of winner. If winner is a minor, prize will be awarded in the name of, or to, winner’s parent/legal guardian who must sign all required documents. Limit one First Prize per individual and/or AOL account. Total approximate retail value of all prizes is $4,875.

6. CONCERT AVAILABILITY

Concert dates/locations/seating is determined solely by Sponsor and is subject to availability; no alternate concert dates or locations or seating arrangements are available. No responsibility is assumed for any canceled, rescheduled, unavailable, delayed or postponed concert dates or tour cancellations in whole or in part. Sponsor’s sole liability for any such cancellation or unavailability of concert for any reason as of the time of prize award is to offer eligible Grand Prize winner the travel portion of the prize and a cash substitute prize of $150 in lieu of tickets.

7. DATA COLLECTION

Information collected from entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Sponsor or by NWIQ or any third parties. 8. GENERAL CONDITIONS

By entering this Sweepstakes, all entrants agree to be bound by all applicable U.S. laws as well as these Official Rules. Grand Prize Winners must complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release (collectively, the “Affidavit”) within ten (10) days of notification. Noncompliance with this time period (or Sponsor’s determination that a winner is not eligible) will result in disqualification, and an alternate winner will be selected. Return of any prize notification as undeliverable may result in disqualification and selection of an alternate winner. Alternate winners are selected at random from the remaining eligible entries. Prizes will only be delivered to addresses within the United States. Where permitted by law, winners grant to Sponsor, (and agree to confirm that grant in writing) and those acting pursuant to the Sponsor’s permission, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time, the Winner's name, city/state, portrait, picture, voice, likeness and biographical information as news or information and for advertising, trade and promotional purposes without additional consideration, and without review, notice or approval. By accepting a prize, each Winner, and all participants, release and agree to hold harmless Sponsor, Maverick Recording Company and NWIQ and their respective parents, subsidiaries, divisions, affiliates, distributors and suppliers, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and damage to property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the prizes, participation in any Sweepstakes related activity, or participation in this Sweepstakes. This Sweepstakes is void in Hawaii, Alaska, Puerto Rico and where prohibited or restricted.

Sponsor and NWIQ reserve the right, at their sole discretion, to disqualify any individual found, in their sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site; to be in violation of the Terms of Service of any of their web sites, to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all entries, and any participant using any such method will be disqualified. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.

Sponsor may prosecute any fraudulent activities to the full extent of the law.

9. LIMITATIONS OF LIABILITY

Sponsor, America Online, Inc., Maverick Recording Company and NewWorldIQ are not responsible for any incorrect or inaccurate information, whether caused by web site users, or tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site. Sponsor, America Online, Inc., Maverick Recording Company and NewWorldIQ are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the web site. If, for any reason, this Sweepstakes, or any part thereof, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, America Online, Inc., Maverick Recording Company and NewWorldIQ, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select the Winners in a random from entries received prior to the action taken.
